# DIAMOND PROGRAM
## Three-Month Program Commitment Agreement
**Cynthia Clark LLC | Diamond Path Educational Programs**

**Program Name:** [Diamond Heart / Diamond Mind / Diamond Calling]
This Agreement is entered into between **Cynthia Clark LLC** (“Company”) and the enrolling participant (“Client”).
The selected Diamond Program is a three-month spiritual education, personal development, and mentorship experience forming part of the proprietary Diamond Path methodology created by Cynthia Clark.
By enrolling, Client agrees to the following terms.

### 1. Program Duration and Commitment
The selected program runs for **three (3) consecutive months**, beginning on the Client's enrollment date unless Company confirms a different start date in writing.
The program duration is identical regardless of the payment option selected.
Enrollment constitutes a commitment to the entire three-month program.
There are no automatic pauses, suspensions, or extensions. Missed sessions, inactivity, or voluntary withdrawal do not automatically extend the program or eliminate outstanding payment obligations.
Each Diamond Program is purchased separately. Enrollment does not obligate Client to purchase any subsequent Diamond Program or the full Diamond Path experience.
### 2. Program Investment and Payment Agreement
Client selects one of the following payment options at checkout:
**Option A — Payment in Full**
One payment of **$5,000 USD** upon enrollment.
**Option B — Installment Payment Plan**
- Initial payment of $2,000 USD upon enrollment.
- Two (2) additional monthly payments of $1,650 USD.
- **Total installment purchase price: $5,300 USD.**
The installment plan represents payment toward the complete three-month program, not a cancelable monthly membership.
The payment option and payment schedule accepted at checkout form part of this Agreement.
Client agrees to complete all payments according to the selected schedule.
Voluntary withdrawal or nonparticipation does not, by itself, cancel the remaining payment obligation.
If a payment becomes overdue, Company will provide written notice and a reasonable opportunity to resolve the balance. Continued nonpayment may result in suspension of access or other remedies permitted by applicable law.
### 3. Program Benefits and Services
During the active three-month enrollment period, Company agrees to provide:
**A. Private Onboarding Call**
One (1) private onboarding call to introduce the program, establish intentions, and support Client's participation.
**B. Private Quarterly Check-In**
One (1) private one-on-one check-in call during the three-month program.
Client therefore receives **two (2) private calls in total**.
Calls must be scheduled and completed during the active program term.
Unused calls expire at the conclusion of the term and do not roll over or qualify for refunds or credits.
If Company cannot provide reasonable scheduling availability, an alternative scheduling opportunity will be offered.
**C. Weekly Group Office Hours**
Access to regularly scheduled group office hours during the active program.
Session dates, times, and anticipated durations will be communicated through program reminders or announcements.
Session duration may vary depending on participation and program needs.
Office hours may occasionally be canceled or rescheduled due to holidays, travel, illness, personal circumstances, or reasonable operational needs.
Company will make reasonable efforts to communicate changes and maintain regular support opportunities.
**D. Program Training Materials**
Three months of access to the curriculum, training videos, lessons, recordings, and designated resources associated with the selected Diamond Program.
Enrollment does not automatically provide access to other Diamond Programs or the full Diamond Path curriculum.
**E. Soul Compass Infinite**
Three (3) months of access to Soul Compass Infinite, beginning with the program term unless otherwise confirmed in writing.
Access is subject to applicable Soul Compass platform and usage terms, provided those terms do not materially diminish the benefits promised under this Agreement.
**F. Program Support**
Program-related email and support-ticket assistance through designated communication channels during the active enrollment period.
Support is provided within reasonable operational schedules and does not constitute unlimited personal coaching or emergency assistance.
**G. Individualized Client Resources**
Company may provide a private digital folder containing personalized educational resources, documents, and other relevant materials.
Specific resources may vary according to individual needs and participation.
### 4. Program Facilitators and Team Support
The Diamond Programs are proprietary educational experiences created by Cynthia Clark and operated by Cynthia Clark LLC.
Onboarding calls, private check-ins, office hours, and other support services may be provided by Cynthia Clark or qualified instructors, mentors, facilitators, or team members designated by Company.
Company may assign or reassign facilitators based on scheduling, operational needs, professional boundaries, or an effective learning environment.
Enrollment does not guarantee that any particular session will be personally conducted by Cynthia Clark.
Company remains responsible for providing the contracted services through appropriately qualified representatives.
### 5. Training Access and Intellectual Property
Client receives a limited, personal, nonexclusive, nontransferable license to access authorized program materials during the active three-month enrollment period.
Company-owned training materials, recordings, written resources, original frameworks, and proprietary curriculum remain the intellectual property of Cynthia Clark LLC.
Unless expressly authorized in writing, Client may not:
- Download, reproduce, or distribute protected training materials.
- Record or redistribute live sessions or training videos.
- Share account credentials or provide unauthorized access.
- Resell, republish, or commercially distribute program materials.
- Use protected program materials to create or deliver competing training products without authorization.
Company may designate specific worksheets, documents, recordings, or individualized resources as downloadable for personal use.
Access to protected program materials expires at the end of the three-month program.
Nothing in this Agreement restricts Client's ownership of independent ideas, original work, personal experiences, or rights that cannot lawfully be waived.
### 6. Private Client Folders and File Retention
Company may maintain a private digital folder containing personalized resources and program-related documents.
Client may download materials specifically authorized for personal download.
Access to the private folder is not guaranteed beyond the active program term.
Company may retain client folders after program completion but does not guarantee indefinite storage.
If stored materials must be deleted due to storage limitations or operational needs, Company will provide reasonable advance notice and an opportunity to retrieve eligible materials when practicable.
Retention and deletion remain subject to applicable law and Company's Privacy Policy.
### 7. Participation and Professional Boundaries
Client agrees to participate respectfully, honor scheduling requirements, use designated support channels appropriately, and respect the privacy of other participants.
Group office hours do not guarantee unlimited individual coaching or immediate responses to every question.
Company may establish reasonable participation and communication guidelines.
Harassment, abusive conduct, unauthorized distribution of materials, or repeated material violations of program policies may result in corrective action, reassignment, suspension, or termination under Section 9.
### 8. Refund and Voluntary Withdrawal Policy
Except as required by applicable law or expressly provided in this Agreement, **all program purchases are final and payments are non-refundable**.
Client's voluntary withdrawal, missed sessions, or decision to discontinue participation does not, by itself, eliminate remaining payment obligations.
The absence of a guaranteed personal outcome does not independently establish a right to a refund.
Nothing in this Agreement waives nonwaivable legal rights or remedies, including those arising from Company's material failure to provide contracted services.
### 9. Suspension and Termination
Company may suspend or terminate participation for material breaches of this Agreement, including unresolved nonpayment, serious misconduct, or unauthorized distribution of protected materials.
Where reasonably appropriate, Company will provide written notice and an opportunity to remedy the breach.
Immediate protective action may be taken when reasonably necessary to address serious misconduct or safety concerns.
Financial obligations, refunds, and remedies following termination will be determined according to this Agreement, the circumstances, and applicable law.
If Company becomes unable to provide material contracted services, Company will seek an appropriate resolution consistent with its legal obligations.
### 10. Spiritual and Educational Disclaimer
The selected Diamond Program is provided for spiritual education, self-discovery, personal development, and mentorship.
It is not medical treatment, psychotherapy, mental health counseling, legal advice, financial advice, or a substitute for licensed professional services.
Spiritual teachings, intuitive practices, and energetic exercises are offered for educational and personal exploration purposes.
Company does not guarantee specific spiritual, emotional, financial, professional, physical, or personal outcomes.
Client retains responsibility for personal decisions, well-being, and application of program teachings.
### 11. Privacy and Group Confidentiality
Company handles personal information according to its Privacy Policy and applicable law.
Clients agree not to disclose another participant's private information or personal experiences shared during group sessions without permission.
Company encourages confidentiality but cannot guarantee the conduct of other participants.
### 12. Completion and Continuing Participation
The selected Diamond Program ends automatically at the conclusion of the three-month enrollment period.
Access to program materials, Soul Compass Infinite, office hours, private mentorship, and ongoing support expires unless otherwise agreed in writing.
Enrollment does not automatically renew or enroll Client in the next Diamond Program.
Company may offer Client the opportunity to enroll in another Diamond Program, the complete Diamond Path experience, or a separate continuing-participation arrangement.
Any additional enrollment requires separate acceptance of the applicable pricing, duration, benefits, and terms.
Company is not obligated to offer renewal, continuation, or special pricing.
### 13. General Agreement Provisions
**Governing Law:** This Agreement is governed by Arizona law, except where applicable law requires otherwise.
**Entire Agreement:** This Agreement, together with the selected checkout payment terms and expressly incorporated written program terms, constitutes the agreement between the parties regarding the selected program.
**Modifications:** Material changes to agreed program benefits or financial obligations require mutual written agreement, except where otherwise permitted by applicable law. Company may make reasonable operational adjustments that do not materially diminish contracted benefits.
**Severability:** If a provision is found unenforceable, the remaining provisions continue to the extent permitted by law.
**Electronic Acceptance:** Electronic signatures and electronically recorded acceptance may establish agreement to these terms, to the extent permitted by applicable law.
**Notices:** Formal notices may be delivered electronically using the contact information provided by the parties, subject to applicable legal requirements.
### 14. Final Acknowledgment
By signing, Client confirms that:
- Client has read and understands this Agreement.
- Client understands the selected program, payment option, and total financial commitment.
- Client understands that enrollment lasts three months without automatic pauses or extensions.
- Client understands that two private calls are included and must be scheduled during the program term.
- Client understands that qualified team members may provide program services.
- Client understands that training and Soul Compass Infinite access expire after three months.
- Client understands the refund, intellectual property, participation, and termination provisions.
- Client understands that purchasing this program does not obligate either party to enter into a subsequent program.
- Client voluntarily accepts these terms.
