This Diamond Path Program Commitment Agreement (“Agreement”) is entered into between Cynthia Clark LLC (“Company”) and the enrolling participant (“Client”).

Diamond Path is a comprehensive, 12-month spiritual education, personal development, and mentorship program created by Cynthia Clark. The program incorporates proprietary teachings, methodologies, and experiential practices developed through more than 17 years of professional experience and study.

By enrolling, Client enters into a mutual commitment to participate in a structured educational experience designed to support self-discovery, spiritual growth, personal empowerment, and the development of their unique gifts.

The following terms establish the responsibilities and expectations of both parties.

1. Program Duration and Commitment

The Diamond Path Program is a 12-month commitment beginning on the Client's enrollment date, unless Company confirms a different start date in writing.

The program duration remains the same regardless of the payment option selected.

Client acknowledges that:

• Enrollment constitutes a commitment to the full 12-month program.

• The program does not offer automatic pauses, suspensions, or extensions.

• Missed sessions, inactivity, or voluntary withdrawal do not automatically extend the program or eliminate outstanding payment obligations.

• Access to program services and training materials expires at the conclusion of the 12-month term unless a separate continuation arrangement is agreed upon.

Company agrees to provide the program benefits described in this Agreement throughout the applicable enrollment period, subject to its terms.

2. Program Investment and Payment Agreement

Client selects one of the following payment options at enrollment:

Option A — Payment in Full

One payment of $15,000 USD upon enrollment.

Option B — Installment Payment Plan

• Initial payment of $2,500 USD upon enrollment.

• Eleven (11) additional monthly payments of $1,250 USD.

• Total installment purchase price: $16,250 USD.

The installment plan represents payment toward the complete 12-month program and is not a cancelable month-to-month membership.

The payment option selected at checkout becomes part of this Agreement. Payment dates and authorization details will be disclosed through the checkout process.

Client agrees to complete all required payments according to the selected schedule.

Voluntary withdrawal, missed sessions, or a decision not to participate does not, by itself, cancel the remaining payment obligation.

If a payment fails or becomes overdue, Company will provide notice and a reasonable opportunity to resolve the outstanding balance. Continued nonpayment may result in suspension of access or other remedies permitted by applicable law.

Any outstanding payment obligations remain subject to applicable law and the other provisions of this Agreement.

3. Program Benefits and Services

During the active 12-month enrollment period, Company agrees to provide the following:

A. Private Onboarding Call

One (1) private onboarding call during the first quarter to introduce the program, establish intentions, and support the Client's initial participation.

B. Quarterly Private Check-In Calls

Four (4) private one-on-one check-in calls, with one available during each quarter of the program.

The first quarter therefore includes both the onboarding call and the first quarterly check-in, for a total of five (5) private calls during the program.

Client is responsible for scheduling and completing these calls within their designated quarters.

Unused calls expire at the end of the applicable quarter and do not accumulate, roll over, or qualify for refunds or credits.

If Company is unable to provide reasonable scheduling availability, an alternative scheduling opportunity will be offered.

C. Weekly Group Office Hours

Access to regularly scheduled group office hours throughout the active program.

Session dates, times, and anticipated durations will be communicated through program announcements or reminders.

Session duration may vary based on participation, questions, and program needs.

Office hours may occasionally be canceled or rescheduled due to holidays, travel, illness, personal circumstances, or other reasonable operational needs. Company will make reasonable efforts to notify participants of changes and maintain regular support opportunities.

Group office hours do not guarantee unlimited individual coaching or immediate answers to every question.

D. Diamond Path Training Materials

Access to the Diamond Path educational curriculum, training videos, recordings, lessons, and other designated resources through Company's learning platform for the 12-month enrollment period.

E. Soul Compass Infinite

Twelve (12) months of access to the Soul Compass Infinite membership level, beginning with the Diamond Path program term unless otherwise confirmed in writing.

Access is subject to applicable Soul Compass platform and usage terms, provided those terms do not materially diminish the benefits expressly promised under this Agreement.

Soul Compass Infinite access included with Diamond Path ends when the Diamond Path program term expires.

F. Program Support

Program-related email and support-ticket assistance through Company's designated communication channels during the active enrollment period.

Support is provided within reasonable business and operational schedules and does not constitute unlimited personal coaching or emergency assistance.

G. Individualized Client Resources

Company may provide a private digital folder containing personalized educational resources, documents, and other materials relevant to the Client's experience.

Specific resources may vary according to individual needs and program participation.

4. Program Facilitators and Team Support

Diamond Path is a proprietary program created by Cynthia Clark and operated by Cynthia Clark LLC.

Program services, including onboarding calls, private check-ins, group office hours, and support, may be provided by Cynthia Clark or qualified instructors, mentors, facilitators, or team members designated by Company.

Company reserves the right to assign or reassign facilitators when reasonably necessary for scheduling, operational needs, professional boundaries, or an effective learning environment.

Enrollment does not guarantee that any particular session or support service will be personally conducted by Cynthia Clark.

Company remains responsible for providing the contracted program services through appropriately qualified representatives.

5. Training Access and Intellectual Property

Client receives a limited, personal, nonexclusive, nontransferable license to access and use authorized Diamond Path training materials during the active 12-month enrollment period.

All Company-owned curriculum, original frameworks, videos, recordings, written materials, and proprietary educational resources remain the intellectual property of Cynthia Clark LLC.

Unless expressly authorized in writing, Client may not:

• Download, reproduce, or distribute protected training materials.

• Record or redistribute live sessions or training videos.

• Share login credentials or provide program access to unauthorized individuals.

• Resell, republish, or commercially distribute program materials.

• Use protected program materials to create or deliver competing training or educational products without authorization.

Company may designate specific worksheets, documents, recordings, or personalized resources as downloadable.

Authorized downloads are permitted for personal use, subject to any stated restrictions and applicable law.

Access to the training platform and its protected materials expires at the conclusion of the 12-month program.

Nothing in this Agreement restricts Client's ownership of their own original work, independent ideas, personal experiences, or rights that cannot lawfully be waived.

6. Private Client Folders and File Retention

Company may maintain a private digital folder for each Client containing personalized materials and program-related resources.

Clients may download materials specifically designated for personal download.

Client access to private folders is not guaranteed beyond the active 12-month program term.

Company may retain folders after program completion but does not guarantee indefinite storage or future availability.

If Company determines that retained client materials must be deleted due to storage limitations or operational needs, Company will provide reasonable advance notice and an opportunity to retrieve eligible materials when practicable.

File retention, deletion, and handling of personal information remain subject to applicable law and Company's Privacy Policy.

7. Participation and Professional Boundaries

Diamond Path is a collaborative educational experience.

Client agrees to:

• Participate respectfully in program activities and communications.

• Take responsibility for personal decisions, participation, and application of program teachings.

• Respect the privacy and experiences of other participants.

• Use designated support channels appropriately.

• Honor scheduling requirements and professional boundaries.

Company may establish reasonable participation guidelines to maintain a respectful, supportive learning environment.

Harassment, abusive conduct, unauthorized sharing of materials, or repeated material violations of program policies may result in corrective action, reassignment, suspension, or termination under Section 9.

Company is not obligated to provide unlimited individual attention or support beyond the benefits expressly described in this Agreement.

8. Refund and Voluntary Withdrawal Policy

Except as required by applicable law or expressly provided in this Agreement, all program purchases are final and payments are non-refundable.

Client acknowledges that enrollment provides access to a structured, limited-duration educational and mentorship experience.

Client's voluntary decision to withdraw, discontinue participation, or stop using the program does not, by itself, eliminate remaining payment obligations.

The absence of a guaranteed personal outcome does not independently create a right to a refund.

Nothing in this section waives any nonwaivable legal rights or remedies, including those arising from Company's material failure to provide contracted services.

9. Suspension and Termination

Company may suspend or terminate Client's access for material violations of this Agreement, including unresolved nonpayment, serious misconduct, unauthorized distribution of protected materials, or repeated violations of professional boundaries.

Where reasonably appropriate, Company will provide written notice and an opportunity to remedy the violation.

Immediate protective action may be taken when reasonably necessary to address serious misconduct, safety concerns, or substantial threats to other participants or Company personnel.

Financial obligations and any applicable refunds or remedies following suspension or termination will be determined according to this Agreement, the circumstances, and applicable law.

If Company becomes unable to provide material contracted services, Company will seek an appropriate resolution consistent with its legal obligations.

10. Spiritual and Educational Disclaimer

Diamond Path is intended for spiritual education, personal development, self-discovery, and mentorship.

The program is not medical treatment, psychotherapy, mental health counseling, legal advice, financial advice, or a substitute for licensed professional services.

Spiritual teachings, intuitive practices, energetic exercises, and related experiences are offered for educational and personal exploration purposes.

Company does not guarantee specific spiritual, emotional, financial, professional, physical, or personal outcomes.

Client remains responsible for personal choices, well-being, and decisions regarding the application of program teachings.

11. Privacy and Group Confidentiality

Company respects the privacy of its Clients and handles personal information in accordance with its Privacy Policy and applicable law.

Clients agree not to disclose another participant's personal information or private experiences shared during group sessions without permission.

Although Company encourages confidentiality among participants, Company cannot guarantee the actions or confidentiality of other group members.

Client understands that participation in group discussions involves voluntary sharing with other participants.

12. Renewal and Continuing Participation

Diamond Path enrollment does not automatically renew.

At the conclusion of the 12-month program, Client's access to training materials, Soul Compass Infinite, office hours, private mentorship, and ongoing program support expires unless otherwise agreed in writing.

Company may, at its sole discretion, offer continuing participation through a renewal, graduate membership, extended-access arrangement, or another program.

Any such arrangement will be offered separately with its own applicable pricing, duration, benefits, and terms.

Company is under no obligation to offer renewal or continuing participation.

13. General Agreement Provisions

Governing Law: This Agreement is governed by the laws of the State of Arizona, except where applicable law requires otherwise.

Entire Agreement: This Agreement, together with the selected checkout payment terms and any expressly incorporated written program terms, constitutes the agreement between the parties regarding Diamond Path enrollment.

Modifications: Material changes to the agreed program benefits or financial obligations require mutual written agreement, except where otherwise permitted by applicable law. Company may make reasonable operational, scheduling, platform, and facilitator adjustments that do not materially diminish the contracted program benefits.

Severability: If any provision is found unenforceable, the remaining provisions remain effective to the extent permitted by law.

Electronic Acceptance: Electronic signatures and electronically recorded acceptance may be used to establish agreement to these terms, to the extent permitted by applicable law.

Notices: Formal notices under this Agreement may be delivered electronically to the contact information provided by the parties, subject to applicable legal requirements.

14. Final Acknowledgment

By signing this Agreement, Client acknowledges that:

• They have read and understand the Agreement.

• They understand the selected payment option and total financial commitment.

• They understand that Diamond Path is a 12-month program without automatic pauses or extensions.

• They understand that private calls must be scheduled within their designated periods.

• They understand that program services may be provided by Cynthia Clark or designated qualified team members.

• They understand that access to Diamond Path materials and Soul Compass Infinite expires after 12 months.

• They understand the refund, intellectual property, participation, and termination provisions.

• They are voluntarily entering into this Agreement.

Diamond Path is an invitation to explore your unique gifts, deepen your self-understanding, and participate in a structured journey of personal and spiritual development.
